You can register a company as a non-profit company or profit company with the Companies and Intellectual Property Commission (CIPC). A company is a legal person which has capacity and powers to act on its own. The law sees a company in the same light as a natural person. There are five types of companies that you can register. If you wish to run a franchise business, you would register a private company. If you wish to register a church, you would register a non-profit company. A private school could be registered as a private company or non-profit company, depending on its objectives. An association of professionals such as lawyers, doctors, civil engineers etc, may be registered as a personal liability company.

Requirements:

  1. Three name suggestions in order of preference
  2. Director’s ID, Director’s address (This can be the same as company address if company operates from home)
  3. Company’s address (This can be the same as director’s address if company operates from home)

The Company registration package includes a B-BBEE certificate and a Tax clearance certificate.

A business may also choose to register voluntarily for VAT if the value of taxable supplies made or to be made is less than R1 million, but has exceeded R50 000 in the past period of 12 months. However, it becomes mandatory if the total value of taxable supplies made in any consecutive twelve-month period exceeded or is likely to exceed R1 million

Requirements:

Company registration documents, Copies of the director’s identity document (please send clear, uncertified scans), Invoices issued to clients by you exceeding R50 000 in total, Bank statements for the past three months preferably showing payment of the above invoices, Director’s proof of residence, Company’s proof of business location.

  4. VAT registration means you’ll get a VAT registration number for your business which you can put on your website and company profile.

A CIDB grade is determined by the contractor’s financial capability and your works capability. This enables the Public Sector, Private Sector and and the Public in general to assess a contractor”.

Subcontract Opportunities – A contractor may approach established contractors with a grading higher than it is registered for and build a subcontract relationship for current and future projects. This will require an understanding of the main contractor’s objectives and at times, the availability of work. This option is beneficial as the main contractor tenders for work and there is no pressure for the subcontractor to tender as they may be a first-choice subcontractor.

Joint Venture Opportunities – Joint Venture opportunities are such that upon successful completion, the contractors involved may re-access their financial capability and your works capability and therefore approach their CIDB offices for Grading Designation Application.

Tender for Projects – This is the most common method as it is pinned on the sole contractor’s ability. Tendering requires an astute understanding of Construction Trends and Pricing Trends for any given time in the Construction cycle.

Pay as you earn (PAYE): tax refers to the tax required to be deducted by an employer from an employee’s remuneration paid. The employer is compelled to register in terms of paragraph 15 of the 4th Schedule to the Income Tax Act.

Unemployment Insurance Fund (UIF): this is a compulsory contribution to fund employment benefits. The funds are utilised to offer short-term relief in the event that workers become unemployed or unable to work for various reasons. Any employer who is liable to register for the employees tax (PAYE) is compelled to register with SARS for the unemployment insurance contributions. According to the Unemployment Insurance Act and the Unemployment Insurance Contributions Act, all employees working more than 24 hours per month must be registered with the UIF. The employer is responsible for the registration of the employees. Employers must pay unemployment insurance contributions of 2% of the salary of each worker’s pay per month. The employer covers 1% and the employee another 1%. The employer is responsible for withholding the employee’s 1%. The payment is done through SARS but the employee claims are requests through the UIF. The employer must submit the forms UI-8 (company registration) and UI-19 (employees registration)

Skills Development Levy (SDL): this levy is used by the government to fund education and training as stated in the Skills Development Act, 1998. This levy is payable monthly by employers to SARS.

Every Company needs to be registered with the Compensation Fund in terms of the COID Act. The Compensation Commissioner requires that all employers be in good standing by ensuring that they are duly registered, have submitted all applicable returns and have paid all amounts due to the Commission.

Once an employer is in good standing, they are then able to draw a Letter Of Good Standing (LOGS) from the Commission.

This LOGS is very important and is a pre-requisite for tenders and for registration on the Central Supplier Database (CSD).

A Tax Clearance Certificate is a document issued by the South African Revenue Service which validates your status as taxpayer and confirms that your tax affairs are in order at the date of issue. TCCs are required for tender applications, to reflect “good standing”, for foreign investment, and for emigration purposes. TCCs pertaining to tenders and “good standing” are of importance for many of our clients since these TCCs are often required by businesses in order to bid for a tender or render a particular service.

Do you need an Import / Export Number to trade internationally? We can Register you or your Company for an Import / Export Number at SARS.
Individuals or Businesses who are importing or exporting goods for commercial and personal reasons (or to the value of R2500+) need to be registered with South Africa’s Customs for an Import / Export Number. This number is obtainable from SARS. It is also known as an Importer’s / Exporter’s Customs Code.

Requirements:
1. Bank Account. You need an active Bank Account at one of South Africa’s major banks.

2. South African Address. Upon registration SARS will require a valid Business / Home Address in South Africa.

3. SARS Letter with Income Tax Number. Send us any SARS letter showing the Business Name as well as your Income Tax Number.

Advantages to Register for an Import / Export Number:

1. Clearance at Customs. You will be able to clear goods at SA’s customs when moving goods in / or out of the country.

2. Payments. You will be able to make or receive payments for goods that have purchased or sold internationally.
